The Series 82 is the qualification exam for a Private Securities Offerings Representative. It focuses on selling private placements as part of a primary offering. Your firm’s compliance team should confirm that this registration matches your actual responsibilities.

The Series 82 is FINRA’s Private Securities Offerings Representative exam. It covers the solicitation and sale of private-placement securities in primary offerings. It is a limited registration category, so it does not replace the broader Series 7 or qualify you for every investment-banking activity.

Do I need the SIE and a sponsor?
Yes. You need association with and sponsorship by a FINRA member firm or another applicable SRO member firm to take the Series 82. The SIE is a corequisite: both exams are required for the registration. Passing exams alone does not authorize you to conduct securities business independently.
How many questions are on the Series 82?
You see 55 multiple-choice questions: 50 scored questions and five unidentified, unscored pretest questions. You have 90 minutes. The scored questions are allocated 25, nine, 13, and three across the four functions. Answer every question because there is no penalty for guessing.
What does the Series 82 exam cost?
FINRA lists a $100 Series 82 exam fee, separate from course access and the SIE exam fee. Confirm current fees with FINRA and ask your sponsoring firm which expenses it covers before enrolling.
Where should I start studying?
Start with the study guide and the private-offerings topics, which account for half the scored exam. Then cover accounts, recommendations, and transactions. Use the practice test to identify rules you cannot yet apply, and return to those lessons before repeating questions.
